Welcome to Homelo.ai Pro, operated by Homelo AI LLC. These Terms and Conditions ("Terms") govern your access to and use of our websites at homelo.ai, pro.homelo.ai, and app.homelo.ai, our mobile application (if applicable), and any related services, features, content, or applications offered by Homelo AI LLC (collectively, the "Service"). By accessing, browsing, or using our Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, along with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue your use of the Service.

These Terms constitute a legally binding agreement between you and Homelo AI LLC. Your continued use of the Service following any modifications to these Terms signifies your acceptance of such changes. It is your responsibility to review these Terms periodically for changes.

1. Acceptance of Terms

By registering for an account, submitting information through our Website, receiving SMS messages from us, or otherwise accessing or using any part of our Service, you expressly acknowledge and agree that you have read, understood, and accept these Terms without limitation or qualification. You further acknowledge that you have read and understood our Privacy Policy, which explains how we collect, use, disclose, and protect your personal information, including your phone number and text message communications. If you are using the Service on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

Your acceptance of these Terms creates a binding legal contract between you and Homelo AI LLC. If you do not have the legal capacity to enter into a binding contract, or if you do not agree with any provision of these Terms, you are not authorized to use the Service. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion at any time without prior notice or liability.

2. Description of Service

Homelo AI LLC operates a real estate lead generation and distribution platform designed to connect homeowners with licensed real estate agents and provide exclusive seller leads to real estate professionals, brokerages, and teams. Our Service includes, but is not limited to, the following features and functionalities:

2.1 For Homeowners

Through our consumer-facing website at homelo.ai, homeowners may voluntarily submit their home address and contact information to receive an estimated market value of their property. As part of this process, we verify the homeowner's phone number through SMS-based authentication to ensure the accuracy and validity of their contact information before connecting them with a licensed real estate agent. By submitting their information, homeowners consent to being contacted by a real estate professional who can provide additional information, discuss market conditions, and potentially assist with the sale of their home.

2.2 For Real Estate Agents and Brokerages

Licensed real estate agents, brokerages, and real estate teams may apply for access to our platform at pro.homelo.ai and manage their leads and account at app.homelo.ai. Our Service provides qualified homeowner leads that have been vetted, verified, and qualified by our team before being distributed exclusively to a single agent, brokerage, or team. Each lead generated through our Service is delivered to only one real estate professional, ensuring exclusivity and eliminating competition among multiple agents for the same prospect.

Agents and brokerages are responsible for following up with leads in compliance with all applicable federal, state, and local laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state real estate licensing laws, and fair housing laws.

2.3 SMS Messaging Program

As an integral part of our Service, we operate an SMS messaging program to facilitate communication between our platform, homeowners, and real estate agents. We use third-party service providers, including GoHighLevel and Twilio, to facilitate the delivery of SMS messages. We do not sell, rent, or share your SMS opt-in data or phone number with any third parties for their own marketing purposes. Your consent to receive SMS messages is entirely voluntary and is not a condition of purchasing any goods or services from us.

2.4 Service Modifications and Availability

We reserve the right to modify, suspend, or discontinue any aspect of the Service, temporarily or permanently, with or without notice, at our sole discretion. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. We do not guarantee that the Service will be available at all times or that it will be uninterrupted, secure, or error-free.

3. User Eligibility and Account Requirements

3.1 Age Requirement

You must be at least eighteen (18) years of age or older to use our Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract. We do not knowingly collect personal information from individuals under the age of 18.

3.2 Geographic Restriction

Our Service is intended solely for use by individuals and entities located within the United States of America. By using the Service, you represent and warrant that you are physically located within the United States at the time of your access and use.

3.3 Real Estate Professional Requirements

If you are registering as a real estate agent, broker, or brokerage to receive seller leads through our platform, you represent and warrant that you hold all necessary licenses, certifications, and credentials required by your state and local jurisdiction to practice real estate and solicit clients. You agree to immediately notify us if your license status changes or if you become subject to any disciplinary action.

3.4 Account Registration and Security

To access certain features of our Service, you may be required to create an account at app.homelo.ai by providing accurate, complete, and current information as prompted by our registration forms. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any breach of security.

3.5 Accurate Contact Information

You agree to provide accurate and valid contact information, including a working mobile phone number and email address, when registering for the Service or opting in to receive SMS messages. If your phone number changes or is reassigned to another person, you agree to immediately update your account information and opt out of SMS messages to the old number.

4. SMS / Text Messaging Terms

TCPA Notice

By providing your mobile phone number and opting in, you consent to receive text messages sent using an automatic telephone dialing system or other automated technology. Your consent is not required as a condition of purchasing any goods or services. Reply STOP at any time to opt out. Msg & data rates may apply.

4.1 SMS Program Description

We operate two distinct SMS messaging programs: a Marketing SMS Program and a Transactional SMS Program. Each program serves a specific function and requires separate consent as described below.

4.2 Marketing SMS Program

4.2.1 Program Purpose: Our Marketing SMS Program sends promotional, marketing, and re-engagement messages to users who have explicitly opted in. Messages may include information about our services, updates about new features, tips related to real estate, special promotions, surveys, reminders, and other content intended to inform or re-engage you with our Service.

4.2.2 Explicit Consent Required: By checking the marketing SMS consent checkbox on our landing pages or registration forms and submitting the form, you expressly consent to receive marketing messages from Homelo AI LLC. Your consent is completely voluntary and is not required as a condition of purchasing any goods or services.

4.2.3 Message Frequency: If you opt in to our Marketing SMS Program, you may receive up to eight (8) marketing text messages per month. Actual message frequency may vary.

4.2.4 Consent is Not Shared: We do not sell, rent, lease, or otherwise share your mobile phone number or your consent to receive marketing SMS messages with any third parties for their own marketing purposes. Your SMS opt-in data is used exclusively by Homelo AI LLC and our authorized service providers (GoHighLevel and Twilio) solely for the purpose of delivering the messages you have consented to receive.

4.3 Transactional SMS Program

4.3.1 Program Purpose: Our Transactional SMS Program sends messages necessary for the operation of our Service, including phone verification one-time passcodes (OTPs) for homeowners submitting on homelo.ai, and account notifications for agents using app.homelo.ai (new lead assignments, low wallet balance alerts, payment confirmations, account status changes).

4.3.2 Explicit Consent Required: By checking the transactional SMS consent checkbox on our forms and submitting, you expressly consent to receive transactional, account-related, and service-related text messages from Homelo AI LLC at the mobile phone number you provided.

4.3.3 Message Frequency: Transactional messages are sent only when triggered by activity on the platform or events related to your account. Homeowners typically receive one (1) verification code per submission. Agents may receive messages whenever a new lead is assigned, a balance threshold is crossed, or a payment event occurs.

4.3.4 Consent is Not Shared: We do not sell, rent, lease, or otherwise share your mobile phone number or transactional SMS consent with any third parties for their own use or marketing purposes.

4.4 Consent Mechanism and Requirements

Our SMS consent process is designed to comply with all applicable federal and state laws, including the TCPA, FCC regulations, and CTIA guidelines.

4.4.1 Separate Consent Checkboxes: We provide two separate and distinct consent checkboxes on our opt-in forms: one for marketing messages and one for transactional messages. These checkboxes are never pre-checked or selected by default. You must affirmatively check each box to consent to the corresponding message type.

4.4.2 Clear Disclosures: At the point of consent collection, we provide clear disclosures including the SMS program description, message frequency, applicable rates, opt-out instructions (STOP), help instructions (HELP), a statement that consent is not required as a condition of purchase, and our contact information.

4.4.3 Opt-In Locations: We collect SMS consent exclusively through opt-in forms on our landing pages at homelo.ai and pro.homelo.ai. We do not collect SMS consent through verbal agreements or implied consent.

4.4.4 Voluntary Nature of Consent: Your consent to receive SMS messages from us is completely voluntary and is not required as a condition of purchasing any goods or services or accessing any features of our Service, except where SMS verification is necessary for security purposes.

4.5 Message and Data Rates

Message and data rates may apply to all SMS messages you receive from us. We do not charge any fees for the messages we send, but your mobile carrier may charge you for each message received and for the data used. You are solely responsible for any and all charges incurred in connection with receiving SMS messages from us. Contact your wireless carrier directly for details about your plan.

4.6 How to Opt Out (STOP)

You may opt out of receiving SMS messages from us at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message you receive from us. When we receive your opt-out request, we will send you a confirmation message and will no longer send messages from that program. To completely stop all SMS messages from us, you must opt out of both programs or contact us at support@homelo.ai or +1 972-696-7328.

4.7 How to Get Help (HELP)

Reply HELP or INFO to any message you receive from us and we will respond with information about our SMS program and instructions on how to get further assistance. Alternatively, contact us at support@homelo.ai or +1 972-696-7328.

4.8 Supported Carriers

Our SMS program is supported by all major U.S. mobile carriers, including AT&T, Verizon Wireless, T-Mobile, MetroPCS, U.S. Cellular, Boost Mobile, Cricket Wireless, and other participating carriers. We are not responsible for messages that are delayed or undelivered due to carrier-related issues, network congestion, or other technical factors beyond our control.

4.9 Changes to SMS Programs

We reserve the right to modify, suspend, or discontinue our SMS programs at any time, with or without notice, for any reason or no reason. If we make material changes to our SMS programs, we will notify you by SMS, by posting a notice on our Website, or by email. Your continued participation in the SMS program after such notification constitutes your acceptance of the changes.

4.10 Privacy and Data Protection

Information about how we collect, use, store, and protect your phone number and other personal information related to our SMS program is described in detail in our Privacy Policy, which is incorporated into these Terms by reference. We implement reasonable security measures to protect your phone number and SMS opt-in data from unauthorized access, use, or disclosure. We retain records of your SMS consent and message history as required by applicable law.

4.11 TCPA Compliance and Regulatory Acknowledgments

Our SMS program is designed to comply with the Telephone Consumer Protection Act (TCPA), Federal Communications Commission (FCC) regulations, and Cellular Telecommunications Industry Association (CTIA) guidelines. By providing your mobile phone number and consenting to receive SMS messages, you acknowledge and agree that we may contact you using an automatic telephone dialing system (ATDS), prerecorded or artificial voice messages, or other automated technology. You are not required to consent to receive calls or messages as a condition of purchasing any goods or services from us, except where such consent is necessary for security or transactional purposes. We do not share your mobile phone number or consent information with third parties for their own marketing use.

4.12 Number Changes and Reassignments

If your mobile phone number changes or is reassigned to another person, you agree to immediately update your account information and opt out of SMS messages to the old number. We are not responsible for messages delivered to a phone number that has been reassigned or transferred to another person after you have provided consent. 5. Intellectual Property Rights

All content, materials, features, functionality, information, data, text, graphics, logos, icons, images, software, code, algorithms, designs, layouts, and all other elements of the Service (collectively, "Content") are owned by Homelo AI LLC, our licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The Content is provided to you "AS IS" for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, sold, licensed, or otherwise exploited for any other purposes without our prior written consent.

5.1 Trademarks and Service Marks

The Homelo.ai name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Homelo AI LLC or our affiliates or licensors. You must not use such marks without our prior written permission.

5.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use (or, for real estate professionals, for your professional business use in connection with receiving and following up on leads). This license does not include any right to: (a) use the Service for any commercial purpose not expressly authorized by us; (b) modify, copy, distribute, transmit, or sell any Content; (c) use data mining, robots, scraping, or similar data gathering methods; or (d) reverse engineer or otherwise attempt to discover the source code or underlying algorithms of any part of the Service.

5.3 User-Generated Content and Submissions

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in any media formats and through any media channels. You represent and warrant that you own or have the necessary rights to grant the foregoing license and that your User Content does not infringe any third party's intellectual property rights or violate any applicable laws.

5.4 Feedback and Suggestions

If you provide us with any feedback, suggestions, or ideas regarding the Service, you acknowledge and agree that such Feedback is provided voluntarily and that we are free to use, disclose, reproduce, license, and otherwise distribute and exploit the Feedback without obligation or restriction of any kind.

5.5 DMCA Notice and Takedown Procedure

If you believe that any content on our Service infringes your copyright, you may submit a notice of alleged infringement in accordance with the Digital Millennium Copyright Act (DMCA) by providing our designated copyright agent with the required information, including: (a) a physical or electronic signature of a person authorized to act on behalf of the copyright owner; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information sufficient to permit us to locate the material; (d) your contact information; (e) a statement of good faith belief; and (f) a statement that the information in the notification is accurate. 6. Prohibited Conduct and Acceptable Use

As a condition of your use of the Service, you agree not to use the Service for any purpose prohibited by these Terms or by applicable law. You are solely responsible for all acts and omissions that occur under your account.

6.1 Illegal or Unauthorized Activities

You may not use the Service for any unlawful purpose or to conduct any unlawful activity, including but not limited to fraud, embezzlement, money laundering, or terrorist financing. You may not use the Service in any manner that violates any applicable federal, state, local, or international law or regulation.

6.2 Fraudulent or Misleading Conduct

You may not provide false, inaccurate, or misleading information when registering for the Service, creating an account, opting in to receive SMS messages, or submitting any information through our platform. You may not impersonate any person or entity, falsely claim an affiliation, or access the Service using another user's account without permission.

6.3 Interference with Service Operations

You may not interfere with or disrupt the Service or servers or networks connected to the Service, including by transmitting any viruses, worms, trojan horses, or other malicious code. You may not attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any computer systems connected to the Service.

6.4 Misuse of Leads and Contact Information

Real estate agents and professionals who receive leads through our Service agree to use the contact information provided solely for the purpose of contacting the homeowner regarding their real estate needs. You may not sell, rent, lease, share, or otherwise transfer lead information to any third party without the homeowner's express consent. You may not engage in harassment, abusive conduct, threatening behavior, or any other inappropriate communication with homeowners.

6.5 Spam and Unsolicited Communications

You may not use the Service to send spam, bulk emails, unsolicited messages, or any other form of unsolicited communication to other users or third parties. You may not harvest or collect email addresses, phone numbers, or other contact information of users from the Service using automated means or otherwise.

6.6 Violation of Third-Party Rights

You may not post, transmit, or otherwise make available through the Service any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party. You may not defame, libel, ridicule, mock, stalk, threaten, harass, intimidate, or abuse anyone through your use of the Service.

6.7 Circumventing Security or Access Controls

You may not bypass, circumvent, or attempt to bypass any measures we may use to prevent or restrict access to the Service. You may not use any software, technology, or device to scrape, spider, or crawl the Service or harvest or manipulate data.

6.8 Enforcement and Consequences

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these prohibited use provisions, including removing or disabling access to content, terminating accounts, reporting the conduct to law enforcement, and taking legal action.

7. Payment Terms and Billing

Certain features of the Service may require payment of fees. If you elect to use paid features of the Service, you agree to the pricing, payment, and billing policies applicable to such features, as we may update them from time to time. All fees are stated in U.S. dollars and are non-refundable except as expressly stated in these Terms or as required by applicable law.

7.1 Pricing and Payment Authorization

By providing a payment method, you authorize us to charge the applicable fees to your designated payment method in accordance with the billing terms in effect at the time a fee or charge is due and payable. You represent and warrant that you have the legal right to use any payment method you provide to us and that the information you provide is true, correct, and complete.

7.2 Wallet Balance and Lead Charges

Real estate agents using app.homelo.ai maintain a prepaid wallet balance. Each time an exclusive lead is delivered to your account, the lead price is automatically debited from your wallet balance. You may configure auto-reload settings to automatically replenish your wallet when your balance falls below a configured threshold. You remain responsible for ensuring sufficient wallet balance to receive leads. Unused wallet balance refunds are subject to a 15% service charge applied to the refundable amount at the time of processing. We do not otherwise provide refunds or credits for unused wallet balance except in cases of legitimate lead disputes resolved in your favor. 7.3 Price Changes

We reserve the right to change our pricing at any time in our sole discretion. If we change the price per lead or any subscription fee, we will provide you with reasonable advance notice by email or by posting a notice on our Website. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new price.

7.4 Failed Payments and Account Suspension

If we are unable to process payment using the payment method you have provided, we will notify you and may attempt to charge your payment method again at a later time. If payment is not successfully processed, we reserve the right to suspend or terminate your access to paid features of the Service until payment is received. You remain responsible for any uncollected amounts.

7.5 Taxes

All fees are exclusive of applicable taxes, duties, levies, tariffs, and similar governmental charges, unless otherwise stated. You are responsible for paying all taxes associated with your use of the Service.

8. Disclaimers and Warranties

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, HOMELO AI LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8.1 No Warranty of Service Availability or Accuracy

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results that may be obtained from the use of the Service will be accurate, reliable, or complete. We make no warranty regarding the quality, accuracy, completeness, timeliness, or appropriateness of any content available through the Service.

8.2 No Warranty Regarding Leads or Results

We do not guarantee that any leads provided through the Service will result in closed transactions, sales, commissions, or any particular outcome. The quality, accuracy, and responsiveness of leads may vary, and we make no representations regarding the likelihood that any particular lead will convert into a listing or sale. 8.3 No Warranty Regarding Third-Party Content

The Service may contain links to third-party websites, applications, services, or resources that are not owned or controlled by Homelo AI LLC. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

8.4 No Professional Advice

The content and information provided through the Service, including property valuations and market analysis, are for informational purposes only and do not constitute professional advice. We are not a licensed real estate brokerage. You should seek independent professional advice before making any decisions based on information obtained through the Service.

8.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the limitations and disclaimers set forth in these Terms may not apply to you. If any provision of these disclaimers or limitations is found to be invalid or unenforceable, such provision shall be severed to the extent necessary, and the remaining provisions shall remain in full force and effect.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOMELO AI LLC BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.1 Maximum Aggregate Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF HOMELO AI LLC FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

9.2 Basis of the Bargain

You acknowledge and agree that these limitations of liability are fundamental elements of the agreement between you and Homelo AI LLC, and that the Service would not be provided to you without these limitations. The limitations, exclusions, and disclaimers in these Terms shall apply to the maximum extent permitted by applicable law.

9.3 Claims and Time Limitation

Any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, notwithstanding any statute of limitations or other law to the contrary.

10. Indemnification

You agree to defend, indemnify, and hold harmless Homelo AI LLC and its affiliates, officers, directors, employees, agents, partners, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising from or related to:

  • Your access to or use of the Service;
  • Your violation of these Terms or any applicable law or regulation;
  • Your violation of any rights of any third party, including but not limited to intellectual property rights, privacy rights, or contractual rights;
  • Any User Content or other content you submit, post, or transmit through the Service;
  • Your negligence, willful misconduct, or fraudulent acts or omissions; or
  • Your provision of false or misleading information to us or any third party.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles. You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the federal or state courts located in Dallas County, Texas. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Informal Dispute Resolution: Before filing any legal action, you agree to first contact us at support@homelo.ai and attempt to resolve the dispute informally. We will attempt to resolve any dispute informally within thirty (30) days of receiving your notice. If the dispute cannot be resolved informally within that period, either party may pursue formal dispute resolution.
